1. Scope and acceptance
These Terms and Conditions are entered into between you and Amenti (a company in formation) (“Amenti”, “we”, “us”, or “our”). Until Amenti is incorporated, references to “Amenti” mean the business operated by Alexander Gitman on behalf of Amenti. By accessing or using the services, you agree to these terms.
2. Accounts and security
- You must provide accurate registration information and keep it current.
- You are responsible for account credentials and activities under your account.
- You must promptly notify us of unauthorized account use or security incidents.
3. Subscriptions, fees, and renewals
- Paid plans are billed according to the selected billing cycle.
- Unless stated otherwise, subscriptions renew automatically until canceled.
- Fees are non-refundable except where required by law or expressly stated.
- You are responsible for applicable taxes, duties, and similar governmental charges.
- We may update pricing with prior notice and such updates apply at renewal.
4. Customer data and processing roles
For customer content personal data, customer is the controller and Amenti acts as processor, unless expressly stated otherwise. Where required, the parties will enter into a Data Processing Agreement compliant with GDPR Art. 28.
Customer is responsible for lawful collection and use of data uploaded to the services and for providing required privacy notices and legal bases.
5. Acceptable use and restrictions
You must not misuse the service. Prohibited activities include:
- Violating laws, regulations, or third-party rights.
- Attempting unauthorized access, interference, reverse engineering, or security testing without permission.
- Uploading malicious code or content that is unlawful, defamatory, or infringing.
- Using the service for high-risk activities where failure may cause personal injury.
6. Intellectual property and license
Amenti and its licensors retain all rights, title, and interest in the services, software, and related intellectual property. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the service during an active subscription.
You retain rights in your customer content. You grant us the limited rights needed to host, process, and transmit that content for service operation.
7. Confidentiality
Each party may receive confidential information from the other and agrees to protect it with reasonable care, use it only for purposes of this agreement, and not disclose it except as permitted by these terms or required by law.
8. Service availability and changes
We aim to keep the services available and secure, but we do not guarantee uninterrupted operation. We may modify features as the product evolves. Material adverse changes to paid core functionality will be communicated in advance where practical.
9. Warranties and disclaimers
Except as expressly stated, the services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or goodwill.
Aggregate liability of each party under these terms is limited to the total fees paid or payable by customer for the affected services during the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability where limitation is prohibited by applicable law.
11. Suspension and termination
- Either party may terminate for material breach not cured within a reasonable notice period.
- We may suspend service where necessary for security, legal compliance, or abuse prevention.
- After termination, customer access ends and we will handle data export and deletion according to contract and documented retention obligations.
12. Governing law and disputes
These terms are governed by the laws of Israel, excluding conflict of law rules. Courts of Israel have exclusive jurisdiction, subject to mandatory consumer protection rights and non-waivable local laws.
13. Changes to these terms
We may update these terms from time to time. If changes are material, we will provide prior notice. Continued use of the service after the effective date means acceptance of the revised terms.
